This Agreement is executed on & by and between the following:

Simply Beautiful LLC

The Company is engaged in the manufacture and sale of clothing and accessories for women that is intended to expand its reach for recognition and sales; the Brand Ambassador is a recognized personality and in a position of influence providing reviews and advocating Simply Beautiful LLC products and services.

The Parties agree and acknowledge that the Brand Ambassador shall perform promotion services in connection with Simply Beautiful LLC through the Simply Beautiful LLC’s social media channels, including but not limited to TikTok, Twitter, Facebook, Instagram, Youtube, Pinterest, among others.

You do not have to create any of the social medias listed above, simply use the one(s) you have already.

We trust that you are the creator of your social media platform, and that you will do this duty to the best of your striving ability. Your gain from this comes from how many purchases come from you, so the more you post the more you are likely to get back from this arrangement. You will receive your own personal code upon signing this agreement that will track this for you.

You will receive the payment as soon as our system receives the transaction.

Compensation Agreement

As full compensation and consideration for the full and complete performance of all the work and other obligations under this Agreement and all costs, the parties agree that Brand Ambassador shall pay for one of Simply Beautiful LLC's wraps with lace of any size, to wear in Brand Ambassador's posted media. Upon the fulfillment of one customer using the personalized code provided to the Brand Ambassador, your cost of the ostomy wrap listed above shall be reimbursed 100%, except shipping costs.

If the Brand Ambassador has already purchased one of these previously, they will not be required to purchase another of the item(s) they have.

Brand Ambassador may use a discount code for 25% of all additional items after hitting milestone $1000 in sales. After the $1000 milestone Brand Ambassador will be presented with free promotional wraps, especially exclusive seasonal wraps, for example Valentine's Day, may also be presented at no cost.

Product Use and Ownership

The Brand Ambassador could be provided products by the Company at no expense for the benefit of the Brand Ambassador. The Brand Ambassador agrees that in such provision of products, the Brand Ambassador cannot, and may not subject the products provided for resale. Should the Brand Ambassador decide to discontinue the use, return, or sell the products, the Brand Ambassador shall notify the Company prior to such action.

Milestones

The Brand Ambassador will begin receive 10% back of all sales, from any item(s) found on our website, that are brought about by customers of Simply Beautiful LLC using the code given to the Brand Ambassador. Once the Brand Ambassador hits $1000.00 USD in total sales from the code, their payback will be boosted to 12% of their total sales. Same rules apply for when they hit the milestone of $2000.00 USD, Brand Ambassador will have a boost to 13%. A final boost will happen when Brand Ambassador hits the milestone of $5000.00 USD total sales, when they will receive the boost to 15% back from their total sales.

You will receive the following percentage back after each sale:

~ 10% Starting out

~ 12% After $1000USD

~ 13% After $2000USD

~ 15% After $5000USD

After the $1000 milestone Brand Ambassador will be presented with free promotional wraps, especially exclusive seasonal wraps, for example Valentine's Day, may also be presented at no cost.

Confidentiality

The Parties to this Agreement may not disclose to any third party, the use of the works engaged by the Brand Ambassador with the Company without the other party's written consent. Neither Party may sell, nor disclose with any third party any proprietary or confidential information acquired by them in the course of their engagement with the other, without the written consent of the other party.

The Brand Ambassador agrees to return to Simply Beautiful LLC all confidential documents, records, or any information owned by the company upon the termination of the Agreement. In case of failure to return the confidential documents, records, or information, the Brand Ambassador shall notify Simply Beautiful LLC and shall agree on how such information shall be disposed or returned to the Simply Beautiful LLC.

Brand Ambassador may not disclose photo or events without written notice from Client to do so.

Brand Ambassador will not disclose ideas to third party without written permission from Client.

Brand Ambassador agrees not to post/talk maliciously at any point about Client.

Brand Ambassador may not reach out to any third-party photographer or any other servicers met through the Client without written consent from Client.

Representations and Warranties

Representations and Warranties: Simply Beautiful LLC acknowledges and understands that:

1. Brand Ambassador has the unrestricted right and authority to perform the duties and deliverables that conform to this Agreement;

2. All duties and responsibilities by the Brand Ambassador is compliant with the applicable laws, rules, and regulations of the State agreed upon by Parties, to be performed in this Agreement;

3. The work of the Brand Ambassador will not contain defamatory, disparaging or offensive content to any product or business, or be involved in any pornographic.

Separability Clause

Should any of the provisions of this Agreement be held invalid by any competent court, the same shall apply only to the said provision and the remaining provisions hereof shall remain valid and enforceable.

Agreement Modification

No modification or alteration of this contract shall be considered as having been made unless otherwise executed in writing and duly signed by the parties hereto.
